Please read these Terms and Conditions (“Terms”) carefully before using the Grafyn AI website, platform, or related services (collectively, the “Website” or “Platform”). By accessing or using our Platform, you (“User”, “You”, “Customer”) acknowledge and agree that you are entering a legally binding agreement with Grafyn AI (“Grafyn”, “We”, “Us”, or “Our”) and agree to comply with and be legally bound by these Terms and our Privacy Policy. If you do not agree, you must not access or use the Platform.

1. Background & Purpose

Grafyn AI offers a SaaS-based AI Security & Governance platform designed for enterprise use (B2B). Our Platform delivers continuous observability, real-time threat detection, red teaming, and runtime defense capabilities to help organizations scale AI securely and responsibly.

2. Modification of Terms

We may modify these Terms at any time. Changes become effective upon posting on our Website, and your continued use thereafter signifies acceptance. If any modification materially affects your rights, we may provide advance notice (e.g., 10 days) before changes take effect.

3. Eligibility

You must be at least 18 years old to use our Platform. By using it, you represent that you are legally capable of forming binding contracts.

4. Access & Use Rights

We grant you permission to use the Platform only in compliance with these Terms and applicable laws. You may not:

  • Access any content or features unless explicitly permitted
  • Host, mirror, copy, modify, distribute, or use automated agents (e.g., bots, spiders) to access the Platform
  • Tamper with or disrupt Platform security features or content protections

  • We offer a 30-day free trial and subscription-based access.
  • Subscription fees are billed in advance and non-refundable unless required by law.
  • You may cancel anytime; paid features remain active until the end of the current billing period.
  • Pricing and subscription terms may be updated with prior notice.

7. Privacy & Data Handling

We collect and process personally identifiable information (PII) per our Privacy Policy. Use of the Platform implies consent to such processing.

8. Third-Party Links

Our Platform may contain links to third-party websites. We are not responsible for these external sites, and inclusion of a link does not imply endorsement. You are solely responsible for your interactions with any third-party sites, and we encourage you to review their terms and privacy policies.

9. Intellectual Property

  • The Platform, including all content, marks, and technologies, is owned by Grafyn AI or its licensors.
  • You receive a limited, non-transferable license for internal business use.

Prohibited actions include:

  • Reverse engineering, decompilation, copying, redistribution, or creation of derivative works
  • Removing proprietary notices or altering Platform content

10. Accuracy & Content

We endeavor to ensure accuracy of content but do not warrant that information is error-free or up-to-date. You use content at your own risk. We may modify content without notice.

11. Spam & Communications

You agree not to use our communication tools for unsolicited commercial messages (spam). You are solely liable for any such misuse.

12. Warranty Disclaimer

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTIBILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR SECURITY. We do not guarantee uninterrupted or error‑free service and are not liable for issues such as outages, bugs, or cyber threats.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Grafyn AI and its affiliates are not liable for any direct, indirect, incidental, consequential, or special damages, even if advised of the possibility of such.
  • Our total liability for any claim is capped at the greater of: (a) the total subscription fees paid by you in the 6 months prior to the claim, or (b) any legally-mandated minimum.

14. Indemnification

You agree to indemnify, defend, and hold harmless Grafyn AI, its affiliates, officers, and agents, from any claims, damages, liabilities, costs, or expenses arising from:

  • Your use of the Platform
  • Your interaction with other users
  • Your violation of these Terms

15. Dispute Resolution & Arbitration

Binding Arbitration: Except as otherwise provided, all disputes arising under or relating to these Terms shall be resolved via binding arbitration under the Federal Arbitration Act (for US users) or applicable arbitration law in India.

Exceptions include:

  • Claims in small claims court within its jurisdiction
  • Actions for injunctive relief to protect intellectual property rights

Arbitration Process: Proceedings will follow rules set by an arbitration entity (e.g., NAM). Arbitration will be individual, not consolidated or class-wide. The decision of the arbitrator is final and enforceable in court.

Opt-Out: You may opt out of arbitration within 30 days of first use via written notice to Grafyn AI’s registered address or email.

16. Term & Termination

These Terms remain effective until terminated by either party. We may suspend or terminate your access for any breach or without cause, without liability. Upon termination, cease use of the Platform and delete any content you hold.

17. Status & Assignment

You are an independent user and not an employee or agent of Grafyn AI. These Terms may not be assigned or transferred by you, but Grafyn AI may do so freely.

18. Governing Law & Jurisdiction

Depending on the contracting entity:

  • India (Pune): Indian law governs disputes for Indian users.
  • USA (Delaware): Delaware law governs disputes for U.S. users.
    Disputes shall be resolved exclusively in the appropriate courts of Pune, India, or Delaware, U.S., subject to any arbitration opt-out choice.

19. Statute of Limitations

Any legal action arising out of these Terms must be filed within 1 year of the claim’s accrual. Past that, claims are waived.

20. General Provisions

  • These Terms and the Privacy Policy constitute the entire agreement.
  • If any provision is found invalid, the remainder remain enforceable.
  • A failure to enforce any right does not waive future enforcement rights.
